Terms of Service

IMPORTANT: These Terms contain a binding arbitration agreement and class action waiver in Section 14. By using Cork, you agree to resolve disputes through individual arbitration rather than in court, except as described in Section 14. You have the right to opt out of arbitration within 30 days of first accepting these Terms.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Cork mobile application, share extension, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

The Service is operated by Cork LLC, a Maryland limited liability company currently being formed ("Cork," "we," "us," or "our"). Until formation is complete, the Service is operated by its founder as a sole proprietor doing business as Cork. Upon formation of Cork LLC, all rights and obligations under these Terms will be automatically assigned to Cork LLC without further notice or action required from you, and your continued use of the Service after that assignment constitutes your consent to it.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you are at least 16 years old, that you have the legal capacity to enter into these Terms, and that you are not barred from using the Service under applicable law. We reserve the right to refuse service to anyone for any lawful reason.

3. Description of the Service

Cork helps you save and organize places, events, and food recommendations you discover on social media. When you submit a link from a supported platform, the Service processes the publicly available content at that link and generates structured results that you can browse, search, and revisit later.

We may modify, suspend, or discontinue the Service, or any part of it, at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4. Accounts

To use most features of the Service, you must create an account. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to keep that information current. You may not transfer your account to anyone else without our prior written permission.

5. Content You Submit

Links you submit. When you submit a link to the Service, you represent and warrant that you have the right to access the content at that link and to submit it to Cork for processing. You are responsible for ensuring that your submission and your use of the Service complies with the terms of service of the source platform and any applicable laws.

License to Cork. By submitting links or feedback to the Service ("User Content"), you grant Cork a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works of, communicate, publish, publicly display, publicly perform, and distribute that User Content, and the results we generate from it, in connection with operating, providing, improving, promoting, and developing the Service and our business, including products and services we may offer in the future. This license continues even after you stop using the Service to the extent reasonably necessary to operate the Service for other users, comply with legal obligations, and as further described in our Privacy Policy.

Aggregated and de-identified data. We may create aggregated, de-identified, and anonymized data from User Content and your use of the Service, and we may use, share, license, and sell that data for any lawful purpose, including building and offering business products to commercial partners. See our Privacy Policy for details.

Feedback. If you submit suggestions, ideas, or other feedback about the Service, you agree that we may use them without restriction or compensation to you.

Crash and diagnostic reports. The app may send anonymous technical crash or diagnostic data to Cork's own servers to help us fix bugs. We do not use third-party mobile crash reporting SDKs for the app. That data is not tied to your account. See our Privacy Policy for what we collect and how long we keep it.

6. Content You Did Not Create

The Service processes content that was originally created and posted by other people on third-party platforms. We do not own that content, and we make no warranty about its accuracy, completeness, legality, or reliability. You are responsible for how you use information generated by the Service, including any decisions you make based on it. If you are a content creator and want content attributed to you removed from the Service, contact us at the address below.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Submit links or content that infringe a third party's intellectual property, privacy, publicity, or other rights
  • Submit content that is illegal, harmful, fraudulent, deceptive, defamatory, obscene, harassing, hateful, or otherwise objectionable
  • Attempt to access content you are not authorized to access, including private accounts or paywalled content
  • Interfere with, disrupt, overload, or impair the Service or the servers and networks that support it
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems
  • Use any automated means (including bots, scrapers, or crawlers) to access, query, or extract data from the Service, except for standard search engine indexing of our public pages
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except where this restriction is prohibited by law
  • Resell, sublicense, or commercially exploit the Service or its outputs without our prior written consent
  • Use the Service to build or improve a competing product or service
  • Submit excessive volumes of links or otherwise abuse the Service
  • Impersonate any person or entity or misrepresent your affiliation with anyone
  • Encourage or enable anyone else to do any of the above

We may, at our sole discretion and without notice, suspend or terminate your access to the Service, remove content, or take other action if we believe you have violated these Terms.

8. Intellectual Property

The Service, including its design, software, branding, and original content, is owned by Cork and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved.

Instagram, Reels, and TikTok are trademarks of their respective owners. Cork is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or ByteDance Ltd.

9. Copyright (DMCA)

We respect intellectual property rights. If you believe that content available through the Service infringes your copyright, please send a notice to our designated agent at saveitin@cork.design with the following information, as required by the Digital Millennium Copyright Act (DMCA):

  • A physical or electronic signature of a person authorized to act on behalf of the copyright owner
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the material that is claimed to be infringing, with enough detail for us to locate it
  • Your contact information, including address, phone, and email
  • A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf

We will respond to valid DMCA notices in accordance with the law, which may include removing or disabling access to the material in question. We reserve the right to terminate the accounts of repeat infringers.

10. App Stores

Apple App Store. If you obtain the Service through the Apple App Store, you acknowledge that these Terms are between you and Cork, not Apple, and that Apple has no responsibility for the Service. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service. Cork — not Apple — is responsible for addressing any claims relating to the Service or your use of it, including product liability claims, consumer protection claims, and claims that the Service fails to conform to applicable legal requirements. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Other app stores. If you obtain the Service through another app store or distribution platform, that platform's additional terms may apply, and you agree to comply with them.

11. Fees

The Service is currently free. We reserve the right to charge fees for some or all features in the future. If we do, we will notify you before any feature you are then using begins carrying a fee, and you may choose whether to continue using that feature.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CORK DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT THE RESULTS GENERATED BY THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, OR CURRENT. STRUCTURED RESULTS ARE PRODUCED BY AUTOMATED SYSTEMS AND MAY CONTAIN ERRORS. YOU ARE RESPONSIBLE FOR VERIFYING ANY INFORMATION GENERATED BY THE SERVICE BEFORE RELYING ON IT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORK AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Dispute Resolution and Arbitration

Please read this section carefully. It requires you and Cork to resolve most disputes through binding individual arbitration rather than in court, and it limits class actions.

Agreement to arbitrate. You and Cork agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or our relationship (collectively, "Disputes") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this agreement. The arbitrator, not any court, has exclusive authority to decide questions about the interpretation, applicability, enforceability, or scope of this arbitration agreement, except that disputes about the class action waiver below will be decided by a court.

Carve-outs. Notwithstanding the above:

  • Either party may bring an individual claim in small claims court if the claim qualifies for that court's jurisdiction
  • Either party may seek injunctive or other equitable relief in court to prevent or stop infringement or misappropriation of intellectual property

Class action waiver. You and Cork agree that Disputes will be brought only in your or our individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of multiple users and may award relief only to the individual party seeking relief. If a court finds that this class action waiver is unenforceable as to a particular claim, that claim (and only that claim) must be litigated in court rather than arbitrated, but the rest of this Section 14 will remain in effect.

30-day opt-out right. You may opt out of this arbitration agreement by emailing us at saveitin@cork.design within 30 days of first accepting these Terms. Your opt-out notice must include your full name, the email address and phone number associated with your account, and a clear statement that you are opting out of the arbitration agreement. Opting out will not affect any other part of these Terms. If you opt out, any Disputes will be resolved in court as described under "Governing law and venue" below.

Arbitration procedure. Arbitration will be conducted in English and, unless the parties agree otherwise, in the county where you reside. The arbitrator's award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Governing law and venue. These Terms and any Disputes are governed by the laws of the State of Maryland, without regard to its conflict of laws principles, except that the Federal Arbitration Act governs the arbitration agreement. For any Disputes not subject to arbitration, you and Cork agree to the exclusive jurisdiction of the state and federal courts located in Maryland.

15. Indemnification

You agree to indemnify, defend, and hold harmless Cork and its officers, members, employees, agents, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to (a) your use of the Service, (b) any content you submit to the Service, (c) your violation of these Terms, or (d) your violation of any law or the rights of any third party.

16. Termination

You may stop using the Service at any time. You may delete your account from within the app, which will result in the deletion of your personal account data and any feedback you have submitted, as described in our Privacy Policy. Anonymous crash and diagnostic reports are not linked to your account and are not removed when you delete your account.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the provisions of these Terms that by their nature should survive will survive, including the license you granted under Section 5, disclaimers, limitations of liability, indemnification, dispute resolution, and these miscellaneous provisions.

17. Changes to These Terms

We may update these Terms from time to time. For minor changes (such as clarifications, typo fixes, or updates that do not materially affect your rights), we will update the "Last updated" date and post the revised Terms. For material changes — including changes that meaningfully expand our rights or reduce yours, or that change the arbitration agreement — we will provide at least 30 days' advance notice via in-app notification, and where required by law, we will obtain your affirmative consent before the changes take effect. Your continued use of the Service after the effective date of any update constitutes your acceptance of the updated Terms.

18. General

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Cork regarding the Service and supersede any prior agreements.

Severability. If any part of these Terms is held invalid or unenforceable, that part will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms, including in connection with the formation of Cork LLC, a merger, acquisition, financing, reorganization, or sale of all or part of our business, without notice or consent.

Notices. We may provide notices to you by in-app notification or by posting them on the Service. Notices to us should be sent to saveitin@cork.design.
